                                          WAIVER FOR Team Octopus LV (“Waiver”)

In consideration for being allowed to participate in Brazilian Jiu Jitsu martial arts training, practice, and other martial arts activities involves inherent risks. I hereby acknowledge and understand that Brazilian Jiu Jitsu martial arts training and practice involves certain inherent risks and dangers including, but not limited to, contact-related inherent risks, joint and muscular risks, collision-related inherent risks, risks of judgment errors of personnel, equipment failure/misuse risks, infectious disease risks, and participant/co-participant related risks, and that these risks and dangers might result in serious bodily injury, permanent disability or death.

I voluntarily agree to assume all of the foregoing risks and accept those risks. I hereby release and forever discharge Team Octopus LV, (the “Company”) and their agents, employees, representatives, volunteers, and any other persons or entities acting on their behalf (collectively, the “Released Parties”) from any and all liability for any injury, damage, or loss that I may sustain as a result of my participation in Brazilian Jiu Jitsu martial arts training and practice, including any and all claims arising from the negligence of the Released Parties.

I further agree to indemnify and hold harmless the Released Parties from any and all claims, actions, suits, costs, damages, liability , including reasonable attorney's fees and expenses, arising out of or related to my participation in Brazilian Jiu Jitsu martial arts training and practice. I understand that the Company may from time to time take photographs and videos of Brazilian Jiu Jitsu martial arts training and practice including participating students, which are used for business purposes including for advertising and marketing of Brazilian Jiu Jitsu martial arts training and practice.

I hereby authorize Company to take and use any photography or motion picture of me and/or my minor child, solely for use by Company in its promotional, marketing and advertising materials including, web site postings, newsletters, social media, and brochures. I hereby waive any rights that I or my minor child has, to inspect or approve any photograph or motion picture of me and/or my minor child used by Company in its promotional, marketing and advertising materials in any form of media prior to their publication.

I further waive any right to royalties or other compensation arising or related to Company’s use of my photograph or motion picture of me and/or my minor child in Company’s promotional, marketing or advertising materials. I understand that this Waiver is intended to be as broad and inclusive as permitted by the laws of the state of Nevada, and that this Waiver shall be governed by and interpreted in accordance with the laws of the state of Nevada.

I further understand and that if any portion of this Waiver is held invalid, the remainder of the Waiver shall continue in full force and effect. I have carefully read this Waiver and fully understand its contents. I am aware that by signing this Waiver, I am giving up certain legal rights and remedies that may be available to me, my child, heirs, executors, administrators, representatives and any other persons acting on my behalf or on behalf of my estate, and I voluntarily and knowingly agree to its terms.

TEAM OCTOPUS LV - Team Octopus Jiu Jitsu Membership Agreement

This Registration and Membership Agreement ("Agreement") is made and entered into as of the date of signing ("Effective Date") between Team Octopus Martial Arts, LLC dba Team Octopus Jiu Jitsu ("Studio") and the undersigned individual ("Member").

1. Membership & Fees

 1.1. Membership Type: Member is registering for the following membership type. The details and benefits of this membership are outlined in the Studio's current membership plans, available at the front desk or on our website.

1.2. Membership Dues: Member agrees to pay the monthly membership dues of $___ on the first of each month, beginning on the Effective Date.

 1.3. Payment Method: The Member authorizes the Studio to charge the provided credit card or bank account for all recurring membership dues and other fees incurred. The Member agrees to keep their payment information current.

1.4. Late Fees: A late fee of $___ will be charged for any payment not received within five (5) days of the due date.

1.5. No Refunds: All membership dues and fees are non-refundable.

2. Studio Rules & Conduct 2.1. Respect & Discipline:

Member agrees to follow all instructions from Studio instructors and staff. Respect for fellow students, instructors, and the training environment is mandatory.

 2.2. Safety: Member acknowledges that jiu jitsu is a physical and contact sport. The Member agrees to train safely, follow all safety protocols, and report any injuries immediately to an instructor.

2.3. Hygiene: Member agrees to maintain proper personal hygiene, including clean training gear, trimmed nails, and good personal cleanliness.

2.4. Code of Conduct: Member agrees to abide by the Studio's Code of Conduct, which prohibits harassment, aggression, or any behavior that is disruptive or disrespectful to others.

2.5. Parents will not coach their children while class is in session. Be respectful to the coach and other surrounding members while class is in session.

2.6. Non members are not allowed onto the mats while a class is in session. If you must use the restroom you will need to walk outside and enter the building through the rear entrance.

3. Assumption of Risk & Release of Liability 3.1. Assumption of Risk: Member understands and acknowledges that participation in jiu jitsu and other martial arts activities involves inherent risks, including but not limited to: bodily injury, contusions, sprains, fractures, concussions, and, in rare cases, more serious injury or even death. Member voluntarily assumes all risks of injury, known or unknown, associated with their participation.

3.2. Release of Liability: Member, for themselves and their heirs, executors, and administrators, hereby waives, releases, and forever discharges the Studio, its owners, instructors, employees, and agents from any and all claims, demands, damages, and causes of action arising from or in connection with any injury, loss, or damage to person or property that may be sustained while participating in Studio activities or using Studio facilities.

3.3. Medical Condition: Member represents that they are in good physical condition and have no medical or physical condition that would prevent them from engaging in jiu jitsu training. Member agrees to consult with a physician before beginning any physical exercise program.

4. Membership Suspension & Termination 4.

1. Suspension: A Member may request a temporary suspension (freeze) of their membership for a minimum of one (1) month and a maximum of three (3) months for a fee of $___ per month. A written request must be submitted at least seven (7) days in advance.

4.2. Termination by Member: Member may terminate this Agreement by providing a written notice of termination at least thirty (30) days in advance of their desired last day. All dues for the notice period must be paid in full.

4.3. Termination by Studio: Studio reserves the right to terminate a Member's membership at any time for a violation of the Studio's rules, Code of Conduct, or for any other reason deemed appropriate by the Studio, with no refund of paid fees.

5. Miscellaneous

5.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada.

5.2. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.

                          TEAM OCTOPUS LV –  Team Octopus Jiu Jitsu Photo Release

I do hereby give Team Octopus Martial Arts, LLC dba Team Octopus Jiu Jitsu, its assigns, licensees, and legal representatives the irrevocable right to use my name and likeness in photograph, portrait, video, or other digital media in all manners, including composite, for advertising, for publication or any other lawful purposes, and I waive any right to inspect or approve the finished product, including written copy, which may be created in connection therewith.

I understand and agree that all photos will become the property of Team Octopus Martial Arts, LLC dba Team Octopus Jiu Jitsu and will not be returned.

I hereby irrevocably authorize Team Octopus Martial Arts, LLC dba Team Octopus Jiu Jitsu to edit, alter, copy, exhibit, publish, and/or distribute these photos for any lawful purpose. In addition I waive any right to inspect or approve the finished product, including written copy, which may be created in connection therewith. Additionally, I waive any right to royalties, payment, consideration, or other compensation arising or related to the use of the photo.

I hereby hold harmless, release, and forever discharge Team Octopus Martial Arts, LLC dba Team Octopus Jiu Jitsu from all claims, demands, and causes of action which I, my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of this authorization.

By signing below, I acknowledge that I have read, understood, and agree to all the terms and conditions of this Registration and Membership Agreement.
